PART A — WEBSITE TERMS OF USE
1. Using this website
By using proxdigitalagency.co.uk (the “Site“), you agree to these terms. If you don’t agree, please don’t use the Site. Our Privacy Policy explains how we handle personal information.
2. Content is for general information
Our articles, guides, statistics, tools and other content are for general information only. They are not professional advice for your specific situation. We work to keep content accurate and up to date, but search engines, AI platforms and digital marketing change quickly. We don’t guarantee that content is complete, current or suitable for your purposes. Please get advice specific to your business before acting on it.
3. Intellectual property
We own, or are licensed to use, the content, design, graphics, logos and code on the Site. You may view the Site and share links to it. You may quote short extracts with clear attribution and a link.
You may not, without our written permission:
- copy or republish substantial parts of our content;
- use our name, logo or branding in a way that suggests we endorse you;
- scrape, harvest or bulk-download the Site, except for normal search engine indexing.
Case studies, client logos and testimonials appear with our clients’ permission. They remain the property of their owners.
4. Acceptable use
You must not:
- use the Site for anything unlawful or fraudulent;
- submit spam, false enquiries, or automated form submissions;
- try to gain unauthorised access to the Site, its server or any connected system;
- introduce viruses or other harmful code, or carry out denial-of-service attacks.
We may block access from IP addresses or users who break these rules.
5. Links to other websites
The Site links to third-party websites for your convenience. We have no control over them and accept no responsibility for their content or practices.
6. Availability
We aim to keep the Site available, but we don’t guarantee it will always be available or free of errors. We may change, suspend or withdraw any part of it without notice.
7. Our liability for the Site
We are not liable for any loss arising from your use of the Site or reliance on its content, except where the law doesn’t allow us to exclude liability. Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited.
PART B — GENERAL TERMS OF BUSINESS
These terms apply to services we provide to business clients. That includes SEO, generative engine optimisation (GEO), website design and development, mobile app and MVP development, branding, social media, digital marketing and digital transformation. If we have signed a separate agreement, proposal or statement of work with you, that document takes priority over these terms wherever they conflict.
8. Proposals, quotes and payment
- Proposals and quotes are valid for 30 days and don’t form a contract until you accept them in writing (including by email) or pay the deposit.
- Unless your proposal says otherwise, we invoice 50% before work starts and the balance before launch. Retainers are invoiced monthly in advance.
- Invoices are payable within 7 days. Prices exclude VAT unless stated.
- If payment is late, we may pause work. We may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- Third-party costs such as hosting, domains, premium plugins, stock assets, software licences and advertising spend are extra unless included in your quote. Ad spend is paid by you, or passed through at cost.
9. Scope and changes
We will deliver the work described in your proposal. We quote separately for anything outside that scope, and only start it with your approval. Timelines depend on you providing content, feedback, approvals and access on time. Delays on your side may move the timeline and, where significant, affect costs.
10. Results and “no guarantees”
Search engines and AI platforms decide rankings, citations and visibility using algorithms that no agency controls. So while we use proven, ethical methods:
- we do not guarantee specific rankings, positions, traffic, leads, sales, or appearances in AI-generated answers (such as ChatGPT, Google AI Overviews, Perplexity or Gemini);
- results depend on factors outside our control, including algorithm updates, competitor activity, your website’s history, and changes you or others make to your site.
We use white-hat methods only and follow search engines’ published guidelines.
11. Your responsibilities
You agree to:
- give us accurate information, and timely access to the systems we need (for example CMS, hosting, analytics and ad accounts);
- make sure any content, images, trademarks or data you give us are yours to use, and don’t break any law or third-party rights;
- review and approve work before it goes live. Once you approve it, you are responsible for the approved content, including its legal and regulatory accuracy (for example claims in regulated sectors such as healthcare and financial services);
- keep your own backups, unless backups are part of our agreed service.
12. Intellectual property in our work
- Once we receive payment in full, ownership of the final deliverables made specifically for you passes to you. That includes designs, website code written for your project, written content and brand assets.
- We keep ownership of our pre-existing tools, frameworks, code libraries, templates and know-how. You receive a permanent licence to use any of these that form part of your deliverables.
- Third-party elements, such as open-source software, fonts, plugins and stock images, remain subject to their own licences.
- Unless you ask us in writing not to, we may show the work in our portfolio and case studies and name you as a client. We will never disclose confidential information when doing this.
13. Confidentiality and data protection
Each of us will keep the other’s confidential information private and use it only for the project. Where we process personal data on your behalf (for example your customers’ data in a website or CRM), we act as your processor. We will handle it only on your instructions and in line with UK GDPR, and we will sign a data processing agreement when needed.
14. Liability
- We are not liable for indirect or consequential loss, or for loss of profits, revenue, business, data or goodwill.
- Our total liability to you under or in connection with any project is limited to the fees you paid us for that project
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot legally be limited.
15. Ending an engagement
- Projects: either party may end a project by written notice if the other seriously breaches these terms and doesn’t fix it within 14 days of being asked. If a project ends early, you pay for work completed up to that date.
- Retainers (SEO, GEO, social media, marketing): minimum term of 1 month, then either party may end by giving 30 days’ written notice.
- When an engagement ends, we will hand over deliverables you’ve paid for and return or delete your confidential information and access credentials.
16. Things outside our control
Neither of us is liable for delays or failures caused by events beyond our reasonable control. That includes outages at hosting providers, search engines or other third-party platforms, and changes to their policies.
GENERAL (Parts A and B)
17. Changes to these terms
We may update these terms from time to time. The version on this page applies from the “Last updated” date. Changes don’t affect projects already agreed unless both parties agree.
18. General
If a court finds any part of these terms unenforceable, the rest still applies. If we don’t enforce a right straight away, we can still enforce it later. Neither party may transfer its rights under a client engagement without the other’s written consent. However, we may use subcontractors, and we remain responsible for their work.
19. Governing law
These terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction.
